SCOPEENGINE — TERMS OF SERVICE, LIABILITY DISCLAIMER & BINDING ARBITRATION AGREEMENT

READ CAREFULLY. This is a legally binding agreement. By creating an account you waive certain rights including the right to a jury trial and the right to participate in a class action lawsuit.

1. NOT LEGAL ADVICE — NO ATTORNEY-CLIENT RELATIONSHIP. ScopeEngine is a software platform, not a law firm. No content generated by ScopeEngine — including AI-generated proposal language, scope descriptions, terms and conditions templates, contract exhibits, or any other document output — constitutes legal advice, and no attorney-client relationship is formed. All AI-generated content is provided as a starting point for informational purposes only. ScopeEngine strongly recommends that you have all documents reviewed by a licensed attorney in your jurisdiction before use.

2. USER'S SOLE RESPONSIBILITY. You are solely and entirely responsible for: (a) reviewing all AI-generated content before sending to any client; (b) ensuring all documents comply with applicable federal, state, and local laws; (c) obtaining appropriate contractor licenses and insurance for your jurisdiction; (d) verifying that any contract language meets your specific legal and business needs.

3. CONTRACTOR INDEMNIFICATION OF SCOPEENGINE. You agree to indemnify, defend, and hold harmless ScopeEngine, its founders, officers, employees, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of ScopeEngine-generated documents; (b) any dispute between you and your clients; (c) any allegation that a document you created on ScopeEngine is unenforceable or legally deficient; (d) your violation of these Terms or any applicable law.

4. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPEENGINE'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SCOPEENGINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF CONTRACTS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. BINDING ARBITRATION & CLASS ACTION WAIVER. ALL DISPUTES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER AAA COMMERCIAL ARBITRATION RULES. YOU EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Arbitration shall take place in Sacramento County, California. The arbitrator's decision is final and binding.

6. TOOL USE ACKNOWLEDGMENT. ScopeEngine is a productivity and proposal-building tool. You acknowledge that: (a) AI-generated content is a starting point that you review, edit, and approve before sending; (b) you are the sole author and publisher of every document you send to your clients; (c) ScopeEngine is not a party to any agreement between you and your clients; (d) AI-generated content may contain errors or omissions and you accept full responsibility for reviewing all content before use.

7. DATA OWNERSHIP & AI TRAINING. You retain ownership of your client data. ScopeEngine may use anonymized, non-identifiable aggregate data to improve the AI system. Individual client names and identifying information are never used in training.

8. BILLING & REFUNDS. Subscription fees are non-refundable after the trial period. ScopeEngine reserves the right to modify pricing with 30 days notice. Sharing account credentials violates these Terms and may result in immediate termination without refund.

9. GOVERNING LAW. These Terms are governed by the laws of the State of California. If any provision is unenforceable, remaining provisions remain in full force. These Terms constitute the entire agreement between you and ScopeEngine.
